Counsel-review draft · not in effect
This page provides a complete substantive draft with review defaults inside square brackets. The values must still be confirmed or replaced based on actual operations, technical deployment, and counsel advice. It is not a current policy or effective terms until formally approved and assigned an effective date.
Parties, scope, and acceptance
These Website Terms of Use (“Terms”) are an agreement between you and NOURIVANA INC (“signalclue,” “we,” “us,” or “our”), a corporation registered in California, USA (Entity No. 202120411028), governing access to and use of signalclue.com, its public pages and content, contact channels, and enterprise-application entry points.
By accessing, browsing, or using the website, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not agree, stop accessing and using the website. If you use the website for an enterprise, employer, or other organization, you confirm that you are authorized to accept these Terms for that organization; in that case, “you” also includes the organization.
These Terms govern the public website only. They do not govern signed-in enterprise applications, Customer Data processing, analytics services, deliverables, acceptance, support levels, fees, points, refunds, or other commercial terms. Enterprise services are governed by the applicable customer service agreement, Order/SOW, DPA, SLA or support schedule, and other executed documents. Approval of an enterprise application, creation of an account, or sign-in to a customer application does not cause these Website Terms to replace the customer contract.
Eligibility, authority, and website access
You must have legal capacity under applicable law and fall within [Applicable users and regions: enterprises and authorized business personnel worldwide where website access is lawful]. The website is intended for enterprises and their authorized business personnel. It is not directed to minors under [Minimum applicable age: 18] or available to persons or regions where applicable law prohibits us from providing website access.
When submitting an inquiry or enterprise application for an organization, you confirm that the information is truthful, accurate, and complete, that you are authorized to provide the relevant enterprise and personnel information, and that you will correct material changes. You must not impersonate another person, fabricate an authorization relationship, or submit a misleading application.
Some content may be unavailable because of region, language, law, operations, or security. Providing public information does not mean that signalclue has accepted an application, committed to provide services, or agreed to procurement terms.
Permitted use
Subject to these Terms, you may access the website for lawful enterprise-information and evaluation purposes, including learning about signalclue, evaluating whether to contact or apply for enterprise services, reviewing public legal documents, and communicating with us.
You may reasonably print or save public pages for internal organizational evaluation, provided that you do not remove copyright, trademark, or other rights notices, republish modified content externally, or imply that signalclue endorses or warrants you, your products, services, or statements.
The website grants only a limited, revocable, non-exclusive, non-transferable right of access. These Terms do not transfer any intellectual property of signalclue or its licensors and do not grant rights to non-public interfaces, data, software, source code, or customer environments.
Prohibited use
You must not, directly or by assisting another person:
- use the website for unlawful, fraudulent, infringing, harassing, discriminatory, defamatory, or misleading conduct;
- transmit malware, viruses, attack traffic, or spam, or conduct phishing, scanning, probing, stress testing, or other activity that threatens security;
- access, attempt to access, or discover non-public pages, accounts, systems, interfaces, credentials, data, or information about another user without authorization;
- interfere with operation, bypass access, rate, security, or regional restrictions, or impose an unreasonable load on infrastructure;
- impersonate another person or signalclue, falsify source, submit a false application, or conceal the true identity or purpose of activity;
- scrape, copy, mirror, aggregate, index, resell, or commercialize website content at scale without written permission;
- decompile, disassemble, reverse engineer, or attempt to derive source code from website software, except to the extent a restriction is prohibited by law;
- remove or alter copyright, trademark, disclaimer, security, or other rights notices;
- collect, submit, or expose another person’s personal information, account credentials, full payment-card data, or unrelated sensitive data through ordinary contact channels; or
- use the website to develop, train, or evaluate a product, service, or model that is confusingly similar to or infringes signalclue rights; or
- use order-delivery address information provided through the website for unlawful activity, consumer harassment, spam, resale for profit, or conduct that violates relevant platform policies, terms of service, or applicable data-protection law.
Search engines may create ordinary indexes in accordance with public robots rules. Other automated access, bots, crawlers, or bulk requests require our prior written permission. We may use reasonable technical measures to block access that violates these Terms and may investigate and preserve necessary evidence.
Website content and no reliance
Website content provides general information about signalclue, product direction, service methods, and contact channels. Unless expressly stated in an applicable customer contract, website content is not an offer, commitment, warranty, professional advice, compliance certification, deliverability validation, or postal certification, and does not promise a particular function, country coverage, performance, accuracy, outcome, delivery time, or return on investment.
The website may include examples, demonstrations, roadmaps, translations, or content not yet generally available. Examples are illustrative. Roadmaps and future plans may change and must not be the sole basis for purchasing, reliance, or implementation decisions. You must conduct an independent assessment based on your business, legal, tax, security, and technical requirements and rely on the formally executed customer contract.
If the website provides functionality to obtain, display, or manage order-delivery address information, that functionality is provided only as a technical tool. signalclue provides technical support only through systems connected with customer authorization, data uploaded by the customer, or channels the customer may lawfully access. You are responsible for ensuring that: (1) obtaining and using the order-address information has a lawful basis; (2) the relevant platform account has been lawfully authorized for connection; (3) the method of obtaining the information complies with applicable platform policies, developer policies, and terms of service; and (4) the processing complies with applicable data-protection law. signalclue makes no promise or warranty regarding the lawfulness, accuracy, completeness, availability, or compliant acquisition of address information.
If browser extensions, third-party service-provider interfaces, or other tools are used to obtain order-delivery address information, you select and authorize the use of those tools. signalclue makes no warranty regarding the compliance, availability, or lawfulness of any extension, third-party provider, or interface. You are responsible for platform penalties, data disputes, or other losses arising from the use of those tools or interfaces.
Contact, application submissions, and privacy
When submitting an inquiry, feedback, or enterprise application, provide only information necessary for the request and that you are authorized to provide. You retain rights in submitted content and grant signalclue permission to use it only as necessary to receive, store, copy, evaluate, route to relevant personnel, and respond to the request.
Submission does not guarantee approval, organization or account creation, or a particular response, review, or access timeline unless separately confirmed in writing. We may request reasonably necessary information, verify authorization, or reject a submission that is incomplete, false, duplicative, unlawful, or presents a security risk.
Personal information in website visits, contact, applications, and feedback is handled under the Privacy Policy and applicable Cookie notice. If you provide information about another person for an organization, you are responsible for a lawful basis and required notice or authority.
Third-party links and services
The website may link to independently operated third-party sites, payment pages, social platforms, browsers or extension stores, maps, content, and other services. A third-party link is provided for convenience and does not mean that signalclue controls, endorses, warrants, or acts as agent for the third party.
Third parties are responsible for their content, products, availability, transactions, cookies, security, and personal-information handling. Review their applicable terms and privacy policies before use. signalclue is not responsible for conduct independently controlled by a third party, without limiting responsibilities imposed by law for providers we select to process information on our behalf.
Intellectual property, trademarks, and feedback
The website and its text, layout, graphics, marks, icons, software, code, and other content are owned by [Rights owner] or its licensors and protected by copyright, trademark, and other intellectual-property laws. Rights in the signalclue name, logo, and related brand elements are held by [Trademark rights owner].
Without prior written permission, you must not use the signalclue name, logo, or a confusingly similar mark in a domain, account name, advertisement, product name, metatag, or another manner likely to create confusion about source, sponsorship, or affiliation. Permission to save public pages grants no other license to brands, software, or content.
If you voluntarily provide a suggestion, improvement idea, or other feedback that does not contain confidential information, you grant signalclue a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable right to use, reproduce, modify, develop, and commercialize that feedback without compensation. Do not submit an idea, source code, or trade secret through an ordinary contact channel if you expect confidentiality. Confidentiality obligations arise only under a separately executed written agreement.
Availability, changes, and access restrictions
We may modify, suspend, or discontinue all or part of the public website for maintenance, security, law, content updates, or operational needs. The website may experience planned or unplanned interruption, and we do not promise continuous, uninterrupted, or error-free availability. Discontinuation or a content change does not automatically terminate, amend, or replace an executed customer contract.
If we reasonably believe access is unlawful, unsafe, disruptive, infringing, or contrary to these Terms, we may restrict, suspend, or block it and take investigative and protective measures proportionate to the risk. We provide appropriate notice or a contact channel where required by law.
If access is restricted or terminated because you violated these Terms or applicable law, that restriction or termination does not affect provisions on fees, refunds, breach liability, or data processing in an executed customer contract.
You may stop using the public website at any time. Stopping use does not eliminate obligations already incurred and does not affect intellectual-property, disclaimer, liability, dispute, or other provisions that by their nature continue to apply.
Website-only disclaimers and liability boundary
To the fullest extent permitted by applicable law, the public website and its general information are provided “as is” and “as available.” signalclue makes no warranty not expressly stated in these Terms or an applicable customer contract, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, continuous availability, or error-free operation.
To the fullest extent permitted by applicable law, signalclue is not liable for indirect, incidental, special, punitive, or consequential loss, or loss of profit, revenue, goodwill, opportunity, business, or data arising solely from access to or use of the public website, even if advised of the possibility. signalclue is responsible only for direct loss caused by conduct legally attributable to it and reasonably proved by you.
Your obtaining or use of order-delivery address information through the website is part of your independent business activity. signalclue is not liable for loss arising from your violation of the obligations in Section 5 or from restriction, suspension, or termination of your relevant platform account.
Nothing excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, intentional misconduct, personal injury, data-protection obligations, or another mandatory responsibility. This section does not govern paid enterprise services, Customer Data, deliverables, or SLAs and creates no enterprise-service liability cap; those matters are governed by the customer contract.
Governing law, disputes, and language
These Terms and disputes arising from public website access or use are governed by [Governing law: laws of the State of California, USA], without displacing mandatory protections that cannot lawfully be excluded. The parties will first attempt good-faith resolution through info@signalclue.com. An unresolved dispute will be submitted to [Dispute method, institution or court, and location: the competent state or federal courts in Alameda County, California, USA]. Either party may seek urgent, interim, or injunctive relief as permitted by law.
If mandatory consumer, data-protection, small-business, intellectual-property, or other law requires a different governing-law or jurisdiction rule, that mandatory rule prevails. An enterprise customer contract may separately govern law and disputes for enterprise services, and these Website Terms do not amend that agreement.
These Terms are available in Chinese and English. If the versions conflict, [Controlling language: English] controls unless applicable law requires another language or mandatory rule to prevail.
Updates and contact
We may update these Terms when law, website functions, organization, or operations change. The updated version will be published at [Website Terms URL: https://signalclue.com/terms] with its last-updated and effective dates. For a change materially affecting user rights or website-use rules, we provide reasonable notice through [Material-update notice method: prominent website notice and email where valid contact information is available] and obtain consent where required by applicable law.
Updated Terms apply to website access and use after their effective date and do not use a website update to unilaterally or retroactively amend an executed customer service agreement, Order/SOW, DPA, or other customer contract. Continued use after an update becomes effective constitutes acceptance to the extent legally valid; if you disagree, stop using the website.
Questions about the website or these Terms may be sent to the signalclue Website Team at info@signalclue.com. The expected acknowledgment or response time is [Website inquiry response time]. Privacy questions and security concerns should also be sent to info@signalclue.com.
